WILLIAMSTOWN SAILING CLUB INC (A0000803A) (“Club”)

NOTICE IS HEREBY GIVEN that the Annual General Meeting of members of the Club will be held at the Club’s premises on SATURDAY 29th July 2023 at 1:00 PM. 

To Voting members of Williamstown Sailing Club:

Agenda:

• To confirm minutes of the previous Annual General Meeting and of any general meetings held since that meeting.

• To receive from the Committee reports upon transactions of the Club during the preceding financial year; and

• To elect Committee members; and

• To receive an consider the Financial statements submitted by the Club (in Accordance with Section 94 of the Associations Incorporated Reform Act 2012); and 

• To vote on the following resolution of which notice has been given in accordance with the Rules.

Special Resolution 1

Motion – To approve the amendment to the Rule 14.1 (d) to increase the expenditure limit from $10,000 to $15,000. 

That the members of the Williamstown Sailing Club approve the amendment to Rule 14.1 (d) increase the value from $10,000 to $15,000.

Special Resolution 1 Explanatory Note on Amendment to Rule 14.1 (d)

The Club house requires extensive maintenance and repair and, in some cases, this can no longer be done by volunteers and may require external contractors. Examples of such may include: Hiring scaffolding for repair, replacement and or painting of external facias; retiling of women’s showers and or replacement of the upstairs carpet. 

It should be noted that the $10,000 limit has not been increased for over 20 years and in this time all materials, goods and service fees have increased significantly. 

Current Rule (July 2021):

(d) as necessary, expenditure in connection with the maintenance of and the furthering of the purposes of the Club provided that any proposal for the negotiation of any loan, overdraft, the issue of debentures or of any proposal to purchase, sell or mortgage land or property or of the expenditure of the sum in excess of $10,000 upon any one project must be approved at a General Meeting of Members.

Proposed Amended Rule
